1. Acceptance of Terms
By accessing or using Flagstand at flagstand.app or any subdomain thereof (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Service.
2. What Flagstand Is
Flagstand is a commercial software-as-a-service (SaaS) platform for iRacing league management. It provides standings, race results, schedules, driver statistics, officiating tools, and related features to racing organizations (“Tenants”) and their members.
Flagstand is operated by Fulcrum Ventures LLC D.B.A. School of Sim Racing, doing business as Flagstand (“we,” “us,” or “our”). School of Sim Racing (SSR) operates as an internal reference deployment and is not a commercial Flagstand tenant.
3. Accounts and Organizations
3.1 Tenant Organizations
A Tenant is a racing organization that creates a Flagstand account and manages one or more iRacing leagues through the Service. Tenants are responsible for all activity that occurs under their account.
3.2 Admin and Steward Users
Tenant admins and stewards access Flagstand through authenticated accounts. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account. Notify us immediately at bruce@schoolofsimracing.net if you suspect unauthorized access.
3.3 Driver Members
Drivers whose race data appears in the Service are members of a Tenant's league. Driver data is synced from iRacing and does not require a Flagstand account. Drivers may optionally claim their profile to access additional features, subject to plan availability.
3.4 Eligibility
You must be at least 13 years of age to use the Service. By using the Service, you represent that you meet this requirement.
4. Subscriptions and Billing
4.1 Plans
Flagstand offers Free, Starter, and Pro subscription tiers, each with defined feature sets and limits as described on the pricing page at flagstand.app. Features and limits are subject to change with reasonable notice.
4.2 Payment
Paid subscriptions are billed in advance on a monthly or annual basis via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. All fees are in USD and are non-refundable except as required by law or as explicitly stated in these Terms.
4.3 Annual Subscriptions
Annual subscriptions are billed as a single upfront payment. No partial refunds are issued for unused months if you cancel mid-term, unless we terminate your account without cause.
4.4 Failed Payments
If a payment fails, your account will enter a grace period during which the Service remains accessible. If payment is not resolved within the grace period, your account may be downgraded to the Free tier or suspended. We will attempt to notify you of payment failures via the email address on your account.
4.5 Plan Changes
You may upgrade or downgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the end of the current billing period. Downgrading may reduce your access to features and enforce lower plan limits; you are responsible for resolving any overages (e.g., excess active seasons or leagues) before the downgrade takes effect.
4.6 Cancellation
You may cancel your subscription at any time through the billing portal accessible from your account settings. Cancellation takes effect at the end of the current billing period. Upon cancellation, your account reverts to the Free tier if within Free tier limits, or becomes read-only if it exceeds them.
4.7 Data Retention After Cancellation
Following cancellation or account termination, your organization's data is retained for 90 days to allow for reactivation or export. After 90 days, data may be permanently deleted. We are not responsible for data loss resulting from account cancellation or non-renewal.
5. Acceptable Use
You agree not to:
- misuse or attempt to manipulate race results, standings, or other data in the Service;
- access or attempt to access accounts, data, or systems that are not yours;
- use the Service to harass, abuse, or harm other users or league members;
- scrape, crawl, or automate requests to the Service in ways that degrade performance for other users;
- reverse-engineer, decompile, or attempt to extract the source code of the Service;
- use the Service for any unlawful purpose or in violation of iRacing's own Terms of Service.
We reserve the right to suspend or terminate accounts that violate these terms.
6. iRacing Data
Race results, standings, roster data, and schedules displayed in the Service are sourced from the iRacing API. We make no guarantees about the accuracy, completeness, or timeliness of synced data. Provisional results may be revised. We are not affiliated with or endorsed by iRacing.com Motorsport Simulations, LLC.
6.1 Sync Availability
Automated data sync requires the applicable iRacing league to have roster, schedule, and results visibility configured as non-hidden in iRacing league settings. We are not responsible for sync failures caused by iRacing API outages or configuration issues outside our control.
6.2 Aggregate and Platform-Level Data Use
We may use iRacing race data collected through the Service — including race results, lap times, finishing positions, driver statistics, and participation records — in aggregate and anonymized form for purposes including: platform-wide leaderboards or statistics, benchmarking, product improvement, and public reporting on platform adoption and growth. This aggregated data does not identify individual users to third parties and is not sold. Individual driver data remains scoped to the Tenant whose leagues generated it and is not shared with other Tenants.
7. Discord Integration
Tenants may configure Discord bot integration to post race results, standings updates, and notifications to Discord channels. By enabling Discord integration, you authorize Flagstand to send messages to the configured channels on behalf of your organization. You are responsible for ensuring your Discord server configuration complies with Discord's Terms of Service.
8. Branding and Attribution
Free and Starter tier tenants agree to display “Powered by Flagstand” attribution on their public-facing hub pages as a condition of using the Service. Pro and higher tier tenants may remove this attribution. Unauthorized removal of attribution on non-qualifying tiers constitutes a material breach of these Terms.
9. Intellectual Property
The Flagstand platform, including its code, design, and documentation, is owned by us and protected by applicable intellectual property laws. These Terms do not transfer any ownership rights to you.
Your organization's data — league names, custom configurations, and data you upload or input — remains yours. You grant us a limited license to store, process, and display that data solely to provide the Service.
10. No Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF DATA LOSS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO FLAGSTAND IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
12. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, or damages — including reasonable legal fees — arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or for any other reason with reasonable notice. Upon termination for cause, the data retention period described in Section 4.7 may be shortened or waived at our discretion.
You may terminate your account at any time by canceling your subscription and contacting us to request account deletion.
14. Governing Law
These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Miami County, Ohio, and you consent to personal jurisdiction in those courts.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or a notice within the Service. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
